These Terms & Conditions ("Terms") govern your use of the Sensibo websites, mobile applications, web applications, products, devices, subscriptions, APIs and related services owned or operated by Sensibo Inc., a Delaware company, and its affiliates ("Sensibo", "we", "us" or "our"). These websites, products, applications and services are referred to collectively as the "Products" or the "Services".
By accessing or using the Products or Services, you confirm that you have read, understood and agree to be bound by these Terms and to comply with all applicable laws and regulations. If you do not agree to these Terms, do not use the Products or Services.
Sensibo may modify the Products, Services and these Terms from time to time. Your continued use of the Products or Services after updated Terms are posted constitutes your acceptance of the updated Terms.
1. Restrictions on Use
The audio and visual information, documentation, data, software, products, services, materials, text, designs, graphics and related content available through the Products or Services ("Materials") are provided by Sensibo or its licensors. The Materials are protected by copyright laws, international copyright treaties and other intellectual property laws and treaties. Sensibo and its licensors retain all rights, title and interest in and to the Materials.
Sensibo grants you permission to display, download or print portions of the Materials solely for informational and non-commercial use, or to place an order with Sensibo, provided that you do not modify, reproduce, edit, distribute, publicly display or otherwise use the Materials without Sensibo's prior written consent, and provided that you retain all copyright and proprietary notices as they appear in the Materials. This permission terminates automatically if you breach these Terms.
You may not use any Materials in a manner that creates a false or misleading impression about Sensibo or any third party. You agree to use the Products, Services and Materials only for lawful purposes. You may not use robots, crawlers, scrapers or similar tools to collect or compile content from the Products or Services for the purpose of competing with Sensibo, training competing systems, or in any way that may impair, disrupt or overload the Products or Services.
2. Accounts, Connectivity and Service Requirements
Some Products and Services require a Sensibo account, compatible hardware, compatible software, and a working internet connection. The mobile applications are made available through third-party app stores, such as the Apple App Store and Google Play. Your use of those stores may be subject to additional terms imposed by the applicable store provider.
Sensibo's cloud infrastructure connects the software applications, web applications and Sensibo devices. To use the full range of functions offered by the Products and Services, an always-on internet connection must be available at the place of installation. To use all mobile features, a mobile data connection or Wi-Fi connection may be required. You are responsible for obtaining and maintaining any equipment, internet access, mobile data plan or ancillary services needed to connect to and use the Products and Services.
3. Orders
Orders may be placed online through Sensibo's website or through authorized sales channels. No order is final until accepted by Sensibo, including by sending an order confirmation email. Sensibo reserves the right to reject or cancel any order before shipment and issue a refund where applicable.
After acceptance, orders may not be cancelled except as provided in these Terms, the applicable order terms, or our return and refund policy. Customers are not authorized to resell any order, in whole or in part, by any means, including online or through e-commerce platforms, unless authorized in writing by Sensibo.
3a. Second-Hand, Resold, Disabled or Transferred Devices
Sensibo devices are intended to be purchased from Sensibo or from authorized sales channels. Devices purchased from third parties, second-hand marketplaces, unauthorized resellers, prior owners or any other source not authorized by Sensibo may not be eligible for activation, warranty, support, replacement, subscription features, commercial use or continued service.
Some Sensibo devices may be disabled, restricted, locked, deactivated, refunded, returned, reported as lost or stolen, associated with a prior account, assigned to a commercial, Airbnb, Airbend, SaaS or other managed plan, or otherwise ineligible for use. Sensibo may also disable or restrict devices for fraud prevention, abuse prevention, non-payment, breach of contract, refund processing, chargebacks, ownership disputes, security reasons, legal compliance, operational reasons or any other reason permitted by law or by the applicable agreement.
If you purchase or acquire a Sensibo device from anyone other than Sensibo or an authorized sales channel, you are solely responsible for confirming before purchase that the device is genuine, lawfully transferable, not disabled, not restricted, not locked to another account or plan, and capable of being activated and used with the Sensibo Services. Sensibo does not guarantee that any second-hand, transferred, resold or unauthorized device will work, can be activated, can be transferred to your account, will be eligible for warranty or support, or will remain available for use with the Services.
Sensibo is not responsible for any loss, damage, refund, dispute or claim arising from your purchase or acquisition of a device from a third party, second-hand marketplace, unauthorized reseller or prior owner. Any such dispute is solely between you and the person or entity from whom you obtained the device.
4. Shipment, Delivery and Delays
Sensibo will use reasonable efforts to ship products that are in stock within 14 days after order acceptance, depending on order size, product availability and fulfillment conditions. Some products may be offered on a pre-order basis and will be identified as such on the website. Pre-order products may ship on or around the estimated date displayed on the website, subject to a reasonable delay of up to 30 days after the estimated pre-order shipping date.
Although Sensibo will make reasonable efforts to deliver by the estimated shipment date, Sensibo does not guarantee shipment or delivery by that date. Shipment or delivery may be delayed by strikes, fire, acts of God, transportation disruptions, customs delays, supply-chain delays, unavailability of materials or components, carrier delays, or other circumstances outside Sensibo's reasonable control. Sensibo may ship partial orders.
Unless otherwise stated by Sensibo at checkout or in writing, Sensibo may select the carrier and ship freight prepaid. Shipping and handling charges, taxes, duties, customs fees and similar charges may be charged to the customer or collected by the carrier or local authorities. Local duties and taxes imposed at the time of delivery may not be reflected in Sensibo's prices. Please consult your local customs office for details about your country's duties and taxes.
5. Payment Terms and Taxes
The prices displayed on Sensibo's website at the time of placing the order will apply. Unless otherwise stated, prices are exclusive of applicable VAT, sales tax, duties, customs fees and similar charges. If delivery charges apply, the customer will be informed of the delivery charges at checkout.
Unless otherwise stated in Sensibo's invoice or agreed in writing, payment is due before shipment. Sensibo may accept payment methods such as Visa, Mastercard, American Express, Discover, JCB, Diners Club, PayPal and other payment methods made available at checkout. Payment options may vary by country. Sensibo may use third-party providers to process payments. Invoices and receipts may be sent by email.
6. Intellectual Property
Any software portion of the Products is licensed, not sold, and may be used only in connection with the applicable Sensibo hardware or Services and not on a stand-alone basis. The software is and remains the property of Sensibo or its licensors.
You may use the Products only for your own personal or authorized business use and not for further distribution or resale. You may not, and may not permit or assist others to, translate, reverse engineer, decompile, disassemble, modify, reproduce, duplicate, copy, distribute or otherwise disseminate all or any part of the Products, except to the extent such restriction is prohibited by applicable law. You may not remove or obscure any proprietary notices on the Products.
Sensibo and its licensors retain all proprietary rights in and to the Products and Services, including any modifications, improvements or derivative works, whether or not based on requests, suggestions or ideas provided by you.
7. Confidentiality
You must keep confidential and may not disclose to any third party, without Sensibo's prior written consent, any non-public information received from Sensibo regarding the Products, Services, business, technology, pricing, documentation or other materials.
8. Data Protection and Privacy
Sensibo processes personal information in accordance with applicable law and its Privacy and Security Policy. Personal information, order data, operating data and device data may be stored and processed electronically by Sensibo and its service providers as described in the Privacy and Security Policy.

9. Google API Limited Use Notice
Sensibo's use and transfer of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.
10. Warranties
10.1 Limited Hardware Warranty
Sensibo warrants to the customer that, for a period of 12 months following the date of shipment to the customer ("Warranty Period"), the hardware portion of the applicable Product will be free from material defects in materials and workmanship under normal use.
10.2 Extended Warranties
Sensibo may offer extended warranties for purchase separately or as part of certain paid subscription plans. Unless otherwise stated in writing by Sensibo, extended warranty coverage is available only under the specific terms described below.
A customer who subscribes to the annual Energy Saver Plan ("ESP") or to the extended warranty subscription ("EWS") (each, a "Plan") may be eligible for extended warranty coverage for the term of the Plan for one eligible Sensibo device, subject to all of the following conditions:
- The customer purchased the Plan within four weeks of installing the eligible device;
- The customer did not cancel the Plan during the free trial and paid for the Plan;
- The eligible device was first set up and connected to the internet less than one month before purchasing the Plan;
- The eligible device was not installed or set up previously, including in connection with an ownership change;
- Only one device is eligible for the extended warranty, even if the customer purchased multiple devices;
- The Plan must remain active and must not be canceled or terminated. If the customer cancels the Plan at any point and later resumes or repurchases it, the extended warranty is void unless Sensibo states otherwise in writing.
Unless Sensibo states otherwise in writing, eligible products for extended warranty coverage are: Sensibo Sky, Sensibo Air and Sensibo Air PRO. For the avoidance of doubt, Sensibo Elements, Room Sensor and Sensibo Pure and any other product not explicitly mentioned above are not covered by the extended warranty.
Non-Sensibo devices, third-party devices, second-hand devices, transferred devices, disabled devices, refunded devices, devices associated with another account, and devices purchased from unauthorized resellers or marketplaces are not eligible for extended warranty coverage unless Sensibo expressly approves coverage in writing.
10.3 Warranty Exclusions
The warranty does not cover malfunctions, failures or defects resulting from misuse, abuse, accident, neglect, improper or inadequate maintenance, alteration, modification, improper installation, unauthorized repair, use outside documented specifications, normal wear and tear, or damage caused by any party other than Sensibo.
10.4 Warranty Remedy
If, during the Warranty Period, the customer notifies Sensibo in writing of a valid warranty claim, Sensibo may, at its sole option and as the customer's sole remedy, either: (i) supply a replacement Product; or (ii) request return of the defective Product for repair in accordance with Sensibo's then-current procedures.
If Sensibo requests return of the Product, the customer may be responsible for freight for the defective Product returned to Sensibo unless otherwise required by law. If a Product is returned for warranty service and no malfunction is found, the customer may be responsible for testing charges and incoming shipping charges. Any repaired or replaced Product will be covered until the end of the original Warranty Period, or, if the failure occurs within the last month of the original Warranty Period, until 30 days after the end of the original Warranty Period.
10.5 Warranty Disclaimer
THE WARRANTIES EXPRESSLY SET FORTH IN THIS SECTION ARE THE SOLE AND EXCLUSIVE WARRANTIES GIVEN BY SENSIBO WITH RESPECT TO THE PRODUCTS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SENSIBO DISCLAIMS ALL OTHER WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. Some jurisdictions do not permit limitations or exclusions on warranties, so some of the above limitations may not apply to you.
11. Warranties and Disclaimers for Services and Materials
The Products, Services and Materials are provided "as is" and "as available" except as expressly stated in these Terms. To the fullest extent permitted by applicable law, Sensibo disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement.
Sensibo does not represent or warrant that the Products or Services will be uninterrupted, error-free, secure, free of viruses or harmful components, or that defects will be corrected. Sensibo does not make any warranties or representations regarding the correctness, accuracy, adequacy, usefulness, timeliness or reliability of the Materials.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SENSIBO BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION OR COST OF SUBSTITUTE GOODS OR SERVICES, WHETHER IN CONTRACT, TORT, NEGLIGENCE, PRODUCT LIABILITY OR OTHERWISE, ARISING FROM OR RELATED TO THE PRODUCTS, SERVICES, MATERIALS OR THESE TERMS, EVEN IF SENSIBO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SENSIBO'S MAXIMUM AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS, THE PRODUCTS OR THE SERVICES SHALL BE LIMITED TO THE AMOUNT PAID BY YOU TO SENSIBO FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE CLAIM AROSE.
13. Service Availability
Sensibo will use reasonable efforts to make the Services available 24 hours a day, seven days a week. However, the Services may be interrupted for maintenance, upgrades, emergency repairs, failures of telecommunications links or equipment, third-party service outages, security issues or other reasons. Sensibo will take reasonable steps to minimize disruption where it is within Sensibo's reasonable control.
You agree that Sensibo will not be liable to you or any other party for any suspension, modification, discontinuance, lack of availability or interruption of the Services.
14. Restrictions on Commercial Use and API Use
Sensibo products are sold for personal use unless otherwise authorized by Sensibo. Commercial use, including use in rentals, Airbnb or other short-term rental properties, hotels, offices, retail stores, commercial buildings or other business environments, may require a commercial license, an Airbnb host subscription, a Sensibo Airbend subscription, or another plan approved by Sensibo.
Non-commercial customers may use up to 15 Sensibo devices in the app or with the API as part of personal use. Adding more than 15 devices may require a commercial license. Please contact sales@sensibo.com for more information.
Sensibo reserves the right to restrict any API endpoint for third-party use, limit access, suspend API credentials, and rate limit the number of calls to the API at any time.
15. Sensibo AI Assistant Terms
Some Sensibo features may rely on artificial intelligence providers, including OpenAI or similar providers. Sensibo may rate limit, restrict, modify or disable AI-powered integrations or product offerings at any time.
AI-powered outputs may be inaccurate, incomplete or unsuitable for your situation. You are responsible for reviewing AI-generated suggestions before relying on them. Sensibo is not responsible for decisions you make based on AI-powered outputs. AI features are not intended for emergency, safety-critical, medical, legal, financial or other high-risk uses.
16. Security
Sensibo and third parties acting on its behalf use a variety of security technologies and procedures designed to help protect personal information from unauthorized access, use or disclosure. However, no method of transmission or storage is completely secure, and Sensibo cannot guarantee that the Products or Services will be immune from wrongdoing, malfunction, unlawful interception, unauthorized access or other information-security risks.
When you place orders or access personal information, Sensibo may use secure transmission technologies such as SSL/TLS to protect information in transit.
17. Third-Party Links
The Products and Services may contain links to third-party websites, services or resources. Sensibo is not responsible for the availability, content, privacy practices or security of third-party websites or services. Your use of third-party websites and services is subject to their own terms and policies.
18. Trademarks
The trademarks, service marks and logos used and displayed on the Products and Services are registered and unregistered trademarks and service marks of Sensibo and others. Except as expressly provided in these Terms, you are not granted any license or right to use any Sensibo trademark, service mark or logo without Sensibo's prior written permission.
Google and Google Nest are trademarks of Google LLC. OpenAI and ChatGPT are trademarks of OpenAI OpCo, LLC. Airbnb is a trademark of Airbnb, Inc. All other trademarks are the property of their respective owners.
19. Termination
These Terms apply when you access the Products or Services or complete a purchase. Sensibo may suspend or terminate your access to the Products or Services, in whole or in part, without notice, if you breach these Terms, misuse the Products or Services, create security, legal or operational risk, or if Sensibo discontinues the applicable Product or Service.
The provisions relating to intellectual property, confidentiality, warranties, disclaimers, limitation of liability, governing law, venue and any other provisions that by their nature should survive termination will survive termination.
20. Notices
Sensibo may deliver notices to you by email, in-app message, general notice on the website, account notification, or another reliable method using the contact information you have provided to Sensibo.
21. Governing Law and Venue
These Terms shall be governed exclusively by the laws of the State of New York, United States, without regard to its conflict-of-law rules and excluding the application of the U.N. Convention on Contracts for the International Sale of Goods. Any dispute, action, claim or cause of action arising out of or in connection with these Terms, the Products or the Services shall be subject to the exclusive jurisdiction of the competent courts in New York, United States.
You agree to waive defenses based on lack of personal jurisdiction or forum inconvenience to the fullest extent permitted by law. Service of process may be made in any manner authorized by applicable law or court rule.
22. General Terms
These Terms represent the entire agreement between you and Sensibo regarding their subject matter. The provisions of these Terms are severable and shall be interpreted to be valid and enforceable to the maximum extent permitted by applicable law. Any invalid or unenforceable provision shall be reformed or replaced by a valid and enforceable provision that is as similar in meaning as possible, and the remaining provisions shall remain enforceable.
A waiver of any provision shall not be construed as a waiver of any later breach or any other provision. Delay or omission by Sensibo to exercise any right, power or privilege shall not operate as a waiver. Sensibo may assign its rights and obligations under these Terms to any third party. You may not assign your rights or obligations under these Terms without Sensibo's prior written consent, and any unauthorized assignment shall be null and void.
23. Shipping & Refund Policy
23.1 Shipping
Pre-sale orders begin processing when the item is in stock and fully received. You can generally expect your order to ship 1–3 business days after the item is received in stock, although additional time may be needed during holidays, peak periods or supply-chain delays. You will receive notification of any material delay or cancellation of your order.
Free-shipping terms vary by territory and may change from time to time. Local duties and taxes imposed on your order at delivery are not reflected in Sensibo's prices unless expressly stated. Please consult your local customs office for more information about duties and taxes.
23.2 Returns
We hope you enjoy your purchase. If you would like to return merchandise, we will help you with the process. Please review the guidelines below to determine whether your merchandise is eligible for return or refund.
- Merchandise must be returned within 30 days of the date of delivery;
- Returned merchandise must be in new and unused condition and in the original packaging;
- A receipt or proof of purchase is required to complete a return;
- Shipping costs and shipping sales tax incurred for returns are non-refundable and are the customer's responsibility unless otherwise required by law.

23.3 Refunds
Once your return is received and inspected, Sensibo will send you an email confirming receipt of the returned item and notifying you of the approval or rejection of your refund. If approved, your refund will be processed and credited to your account within approximately 10 business days from the date the return is received by Sensibo.
23.4 Damaged Goods
Defective or damaged items must be reported to Sensibo within 30 days of the date received. Eligible defective or damaged items may be exchanged for the same item. Please contact support@sensibo.com if you would like to replace an item.
23.5 Pre-Sales
For items sold on pre-order status, your account will be charged when your order is placed. If you cancel your order before it ships and within 30 days of purchase, you will be credited in full. Please contact support@sensibo.com if the credit has not been received. If you cancel after the order has shipped, the return policy and guidelines will apply.

25. Australia Cyber Security Rules 2025 - Statement of Compliance

Name and Address of Manufacturer: Sensibo Inc., 1313 N. Market Street, Suite 5100, Wilmington, Delaware, United States 19801.
This statement has been prepared by, or on behalf of, the manufacturer of the product.
In the opinion of the manufacturer:
- The product has been manufactured in compliance with the requirements of the security standard prescribed under the Cyber Security (Security Standards for Smart Devices) Rules 2025.
- The manufacturer has complied with all other obligations relating to the product under the aforementioned security standard, including provisions for reporting security issues and defining support periods.
The defined support period for this product, including its hardware, pre-installed software and any required software for intended usage, is until 31 December 2027, during which security updates will be provided.
